Consent and Disclaimer Agreement

This Consent and Disclaimer Agreement is made today by and between Retail Control Solutions (“RCS”) and the Merchant Company named below in this form (hereinafter referred to as “Merchant”).

In consideration for the mutual agreements herein, RCS and the Merchant hereby agree as follows:
REQUEST AND CONSENT FOR ACCESS TO MERCHANT’S CARDHOLDER ENVIRONMENT AND SCREEN CONNECT CREDENTIALS

Merchant hereby requests, and RCS hereby agrees to provide with Merchant’s consent, access to Merchant’s Cardholder Environment to CrowdStrike for purposes of deploying CrowdStrike’s Falcon products to review activity. Merchant also requests, and RCS hereby agrees to provide with Merchant’s consent, Merchant’s Screen Connect credentials (“Credentials”) to CrowdStrike for access to Merchant’s card holder environment.

DISCLAIMER
The merchant understands that RCS is only providing Crowdstrike with access to the cardholder environment and credentials to ScreenConnect at the request of Merchant and that RCS is not responsible or liable for any use of the credentials once provided to Crowdstrike or any software deployed by Crowdstrike. Merchant acknowledges and understands that RCS does not guarantee or warrant any work done by, or actions taken by, Crowdstrike or its use of the credentials. In no event shall RCS, its officers, employees or affiliates have any liability to the Merchant, its officers, employees, affiliates or any third party for damages of any kind, whether direct or indirect, lost profits or any anticipated revenue or profit, or other incidental, special, exemplary, punitive or consequential damages, including without limitation, damages for business interruption or any other damages or losses, arising out of, or relating to deployment of software or the use of the credentials by Crowdstrike. The Merchant understands that this consent and disclaimer agreement does not relieve – and RCS is not assuming – any obligations the Merchant may have to any card brands, processors, merchant banks, state regulators or customers. *
